變更法人代表時,章程修正案應如何修改

法人代表的變更應當根據公司的章程

修改公司章程的決議要符合法定人數。必須經代表三分之二以上表決權的股東同意通過。在提出修改公司章程時要有代表三分之二以上表決權的股東同意，經修訂的章程也必須由代表三分之二以上表決權的股東同意。否則，修訂后的章程無效，原公司章程繼續有效。公司章程修改后，還應當報公司登記機關進行登記。
